1. Acceptance of Terms

By accessing or using any product or service operated by Gnotor (the "Service"), available at gnotor.com and through associated applications including Zenmentum, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you and Gnotor. By creating an account, you confirm that you have read, understood, and agree to these Terms, as well as our Privacy Policy and Refund Policy, which are incorporated herein by reference.

2. Description of Service

Gnotor operates various productivity applications, including Zenmentum (the "Service"). Zenmentum is an all-in-one GTD (Getting Things Done) productivity workspace designed to help you organize your work and life. The Service includes the following features:

The Service is currently available on the web at gnotor.com, with iOS, macOS, and Windows applications planned for future release. Feature availability may vary between platforms and subscription tiers.

3. Account Registration

3.1 Eligibility

You must be at least 13 years old (or 16 years old in the European Economic Area) to create an account and use the Service. By creating an account, you represent and warrant that you meet this age requirement.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

Each account is for a single individual. You may not create multiple accounts for the purpose of circumventing feature limits or subscription tiers. We reserve the right to terminate duplicate accounts.

4. Subscription Terms

4.1 Free Tier

Zenmentum offers a free tier that includes basic task management, habit tracking, and note-taking features with limited project capacity. The free tier is provided at no cost and may be subject to feature limitations that differ from paid plans.

4.2 Free Trial

Zenmentum offers a 14-day free trial of the Pro subscription. During the trial period, you will have full access to all Pro features at no cost.

Important: At the end of the 14-day trial period, your subscription will automatically convert to a paid Pro subscription at the then-current rate ($8/month or $68/year, depending on the plan you selected). You will be charged through your original payment method (Paddle for web purchases, or Apple for App Store purchases). To avoid being charged, you must cancel before the trial period ends.

You may cancel the free trial at any time during the 14-day period by following the cancellation instructions in Section 4.6. If you cancel during the trial, you will retain access to Pro features until the trial period expires, after which your account will revert to the Free tier.

The free trial is available once per user. Creating multiple accounts to obtain additional free trials is prohibited (see Section 3.3).

4.3 Pro Subscription

The Pro subscription unlocks all features of Zenmentum with no project or feature limitations. Pro is available at the following pricing:

4.4 Lifetime License

A lifetime license is available for a one-time payment of $168, granting permanent access to all Pro features for the lifetime of the Service. The lifetime license is non-transferable.

4.5 Auto-Renewal

Pro subscriptions (monthly and annual) automatically renew at the end of each billing cycle unless cancelled before the renewal date. You will be charged the applicable subscription fee at the beginning of each renewal period.

4.6 How to Cancel

You may cancel your subscription at any time. Upon cancellation, you will retain access to Pro features until the end of your current billing period.

Web purchases: Subscriptions purchased through our website are processed by Paddle. To cancel, contact [email protected] or manage your subscription through the Paddle customer portal link in your purchase receipt.

App Store purchases: Subscriptions purchased through the Apple App Store are managed by Apple. To cancel, go to Settings > Apple ID > Subscriptions on your Apple device and select Zenmentum.

5. Payment Terms

Paddle.com Market Limited is the Merchant of Record for all our orders. Paddle provides all customer service inquiries, handles returns, and manages payment processing. When you make a purchase through our website, you are purchasing from Paddle, who is the seller of record.

5.1 Pricing

All prices are listed in US dollars unless otherwise stated. The prices displayed at checkout are inclusive of applicable taxes, as determined and collected by Paddle based on your location.

5.2 Price Changes

We reserve the right to change our pricing at any time. If we change the price of a subscription, we will provide at least 30 days' advance notice via email before the new price takes effect. The new price will apply to your next billing cycle after the notice period. If you do not agree with the new pricing, you may cancel your subscription before the new price takes effect.

5.3 Taxes

All applicable taxes (including VAT, GST, and sales tax) are calculated and handled by Paddle as the Merchant of Record. Paddle is responsible for remitting all applicable taxes to the relevant authorities.

7.1 AI-Generated Content Disclaimer

Zenmentum includes AI-powered features such as Smart Notes Q&A and task analysis. These features use Anthropic's Claude API to generate responses and suggestions. AI-generated content is provided for informational and productivity purposes only. While we strive to deliver helpful and accurate AI responses, you acknowledge that:

7.2 Third-Party AI Provider

AI features are powered by Anthropic (Claude API). When you use AI features, portions of your content are sent to Anthropic's servers for processing. Anthropic does not use API inputs for model training. For more details, please refer to our Privacy Policy.

8. Intellectual Property

8.1 Our Rights

The Service, including its software, design, text, graphics, logos, and all other content and materials (excluding user content), is owned by Gnotor and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works of the Service without our express written permission.

8.2 Your Content

You retain full ownership of all content you create, upload, or store within the Service, including tasks, notes, habits, and any other user-generated content. Gnotor does not claim ownership of your content.

8.3 License to Process Your Content

By using the Service, you grant Gnotor a limited, non-exclusive, worldwide license to store, process, and display your content solely for the purpose of providing and improving the Service. This license includes the right to transmit your content to third-party service providers (such as Anthropic for AI features and Supabase for data storage) as necessary to deliver the Service. This license terminates when you delete your content or your account.

9. Termination

9.1 Termination by You

You may delete your account at any time through the account settings within the app, or by contacting us at [email protected]. Upon account deletion, your data will be permanently removed within 30 days, except as described in our Privacy Policy.

9.2 Termination by Us

We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or use the Service in a way that harms other users or the Service itself. We will make reasonable efforts to notify you before any suspension or termination, except in cases of serious violations where immediate action is necessary.

9.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. You should export your data before terminating your account, as we cannot recover data after deletion. Sections of these Terms that by their nature should survive termination will survive, including intellectual property provisions, disclaimers, limitations of liability, and governing law.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee that the Service will be uninterrupted, timely, secure, or error-free. We do not guarantee the accuracy, reliability, or completeness of any content provided through the Service, including AI-generated content. Your use of the Service is at your sole risk.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GNOTOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE.

Our total aggregate liability to you for any claims arising out of or related to these Terms or the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim, or fifty US dollars ($50), whichever is greater.

Nothing in these Terms shall exclude or limit our liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts of England and Wales.

If you are a consumer in the European Union, you may also benefit from any mandatory provisions of the consumer protection legislation in your country of residence. Nothing in these Terms affects your rights as a consumer to rely on such mandatory provisions of local law.

We reserve the right to modify these Terms at any time. When we make material changes, we will:
